Where does the 58.1% gross margin come from? The short answer: branded OTC healthcare commands a price premium over private label that is difficult to compress, because brand trust is the product. A consumer reaching for Tylenol at 2 a.m. is not comparison-shopping on price. That trust premium, built over decades, is what allows Kenvue to hold a ~58% gross margin even as revenue declines. The most immediate opportunity is international scale. Kenvue's US-centric revenue composition (approximately 45-50% of net sales, per segment geographic disclosures) leaves meaningful international volume in markets where the brand portfolio already has legal and distribution infrastructure. Essential Health has shown the most resilient international performance. The threats are concentrated and, in one case, exogenous.
The Tylenol/acetaminophen regulatory outcome is the binary threat that no management team can model precisely. If the FDA finalizes the label-change process with caution language for pregnancy and/or early childhood use, the sales impact on Kenvue's largest segment depends on how consumers and healthcare providers interpret the label. The history of OTC label changes (Reye's syndrome and aspirin in children in the 1980s, for example) shows that clear government warnings can structurally redirect a category over 1-3 years. The government allegation is scientifically contested - the MDL science, which Kenvue won, addressed the same claim. But "government allegation" and "consumer behavior change" are not the same threshold.
Private label penetration is an ongoing structural threat across all three segments. In mass retail pharmacy aisles, store-brand versions of acetaminophen, skin moisturizer, and wound care sit alongside the branded Kenvue products at 30-50% lower retail prices. The regulatory environment is the macro tailwind that became a headwind. For most of its history, OTC consumer health operated in a stable FDA regulatory frame: approved monograph, label compliance, and periodic safety reviews. The September 2025 federal government action on acetaminophen - and the FDA's PE proposed order finalized in 2024-2025 - signals a more active regulatory stance toward OTC active ingredients, a posture that has accelerated under the current administration's public health and DOGE-influenced FDA reform agenda. Where I agree and where I differentiate. The bulls are right that the brand portfolio is structurally sound and the gross margin is real. When a company's gross margin holds at 58% through a 2% organic revenue decline, that is not a fluke - that is pricing power that took decades to build. The bears are right that the Tylenol regulatory risk is not priced with precision, because it cannot be. The FDA label-change process timeline and outcome are outside management's control, and the history of active-ingredient regulatory actions shows they can permanently redirect a category. Where I differentiate from both: the deal-arbitrage posture the Street has adopted - treating KVUE as essentially a K-C stub until close - underweights the tail risk that deal closure is the only scenario that cleanly resolves Kenvue's structural vulnerabilities. A deal break would not be a temporary setback; it would return Kenvue to standalone mode with a Skin H&B segment near impairment, an FDA process running against its largest segment, and approximately 5x net debt to adjusted EBITDA. That is a materially different company than the one that existed at IPO in May 2023 when the standalone story was framed as a "steady compounder."
The merger announcement was not bad timing. It may have been precisely timed. Kenvue's standalone risk profile - Tylenol under federal regulatory scrutiny, Skin H&B near impairment, dividends exceeding GAAP earnings - was at its most complex at exactly the moment K-C made its offer. A strategic buyer with a long-term view could underwrite those risks at scale; a standalone $15B consumer health company with $8.5B of debt has less capacity to do so.
The operator bridge. Your $5-80M consumer brand almost certainly has a version of the Kenvue pattern in miniature - and it is worth naming clearly, because it is different from the typical growth-stage risk.
The Kenvue pattern is this: a business with a strong, defensible gross margin built on brand trust in a category where the trusted active ingredient or hero ingredient is the source of both the premium and the regulatory exposure. Kenvue's 58% gross margin exists because consumers pay a brand premium for the trust embedded in Tylenol and Neutrogena. But the acetaminophen debate and the PE proposed order reveal that the same active ingredient powering the trust premium is the surface area where regulatory risk concentrates. When the government moves against the ingredient - not the company, not the brand, but the ingredient - the brand equity insulates you, but it does not protect the volume.
